[Remote] Interim Project Development & Operations Attorney

Major, Lindsey & Africa’s client is a well-respected renewable energy company seeking a skilled Project Development & Operations Attorney for a 9+ month assignment. The role focuses on driving utility-scale renewable energy projects from development through contracting and financial readiness, with an emphasis on Power Purchase Agreements and project-level transactions.
Responsibilities
- Lead drafting and negotiation of Power Purchase Agreements (PPAs) and other offtake arrangements for utility-scale renewable energy projects
- Advise on:
- Commercial terms and pricing structures
- Risk allocation with utilities, corporates, and other counterparties
- Regulatory and market considerations impacting offtake arrangements
- Partner with development and origination teams to advance projects and secure revenue streams
- Draft, review, and negotiate project-level transaction agreements, including:
- Build Transfer Agreements (BTAs)
- Development transfer agreements
- Asset or project sale documentation (e.g., MIPAs or related structures)
- Support project structuring and execution for:
- Partnering
- Syndication
- Eventual monetization or transfer of projects
- Advise on:
- Assignment and consent provisions across project documents
- Transferability of rights under PPAs, EPCs, and interconnection agreements
- Risk allocation, representations, and indemnities tied to project transactions
- Draft and negotiate key project agreements, including:
- EPC agreements
- Balance of Plant (BOP) contracts
- Equipment supply agreements and LTSAs
Skills
- At least 8+ years of relevant experience
- Demonstrated experience negotiating PPAs or other energy offtake agreements for utility-scale projects
- Experience with project-level transactions, including BTAs, asset transfers, or project sales
- Strong background in renewable energy project development (solar, wind, storage, or broader power sector)
- Proven ability to independently drive deals and manage negotiations end-to-end
- Experience working in utility-scale project environments (IPP, developer, or energy-focused law firm)
- Ability to operate effectively in a fast-paced environment with minimal oversight
- Strong commercial judgment and problem-solving ability
- J.D. and active bar membership
